Board of Directors

Duties and Members of the Board are outlined in the Bylaws:

  • Bylaw 4 – Officers of the Branch
  • Bylaw 5 – Duties of the Officers
  • Bylaw 6 – Members of the Board
  • Bylaw 7 – Duties of the Board

Duties of the President

In addition to the duties described in Bylaw 5(1), the President shall:

  1. Liaise with the Executive Director on a regular basis over emerging and ongoing issues and consult on matters as they arise.
  2. Approve agendas for Board Meetings (dates outlined in Meeting Schedule)
  3. Determine topic and speaker for President’s Forum at the Mid-Winter Meeting
  4. Prepare a Quarterly Branch Report for submission to National Board (you will get notification directly from CBA).
  5. Sit on Branch Committees:
    1. Awards Committee – Member
    2. Nominating Committee – Member
    3. King’s Counsel Branch Committee – Member
  6. Sit on Standing or External Committees
    1. Judicial Compensation & Benefits
    2. King’s Bench Bar Judicial Council
  7. Attend Law Student Events as outlined on Meeting Schedule.
  8. Host President’s Dinner.
  9. Attend Call to the Bar Ceremonies and Judicial Swearing-in Ceremonies to bring greetings or determine a substitute representative from the Board or Council.
  10. Respond to media inquiries.
  11. For the Branch Annual Meeting – June:
    1. Advise Branch of preferred President’s Gift
    2. Present President’s Pin to Incoming President
  12. Attend Online CBA Annual Meeting – February
  13. Attend, Supreme Court Dinner, Leadership Forum & CBA President’s Dinner - June
  14. Observe CBA Board Meetings

Finances

Maintain signing authority through the appropriate documents submitted to Canadian Western Bank. Out-of-pocket expenses incurred while on Branch business will be covered with the submission of appropriate receipts. You are expected to make your own travel arrangements.

Duties of the Vice-president

In addition to the duties described in Bylaw 5(2), the Vice-President shall:

  1. Attend Board Meetings (dates outlined in Meeting Schedule).
  2. Approve the Agenda and Chair the annual Planning Committee Meeting – April.
  3. Appoint the next year’s Mid-Winter Planning Committee Chair – March.
  4. Attend Council Meetings.
  5. Attend Mid-Winter Meeting.
  6. Sit on Branch Committees:
    1. Awards Committee – Member
    2. Nominating Committee – Member
    3. Queen’s Counsel Branch Committee – Member
  7. Attend Law Student Events as outlined on Meeting Schedule when appropriate.
  8. Attend Call to the Bar Ceremonies and Judicial Swearing-in Ceremonies as needed.
  9. Attend Branch Annual Meeting and submit written report.
  10. Attend Virtual Leadership Forums (when President is unavailable).
  11. Attend CBA Orientation – August/September.

Finances

Maintain signing authority through the appropriate documents submitted to Canadian Western Bank. Out-of-pocket expenses incurred while on Branch business will be covered with the submission of appropriate receipts. You are expected to make your own travel arrangements.

Duties of the Treasurer

In addition to the duties described in Bylaw 5(3), the Treasurer shall:

  1. Approve CBA-SK expenses online through Plooto (dual approval with Executive Director).
  2. Approve the VISA monthly statement and payment (dual approval with Executive Director).
  3. Review the monthly Financial Report.
  4. Discuss and determine Investment strategies with Executive Director.
  5. Attend Board of Directors Meetings (dates outlined in Meeting Schedule).
  6. Attend Council Meetings.
  7. Attend Mid-Winter Meeting.
  8. Attend Law Student Events as outlined on Meeting Schedule.
  9. Attend Branch Annual Meeting.

Duties of the Immediate Past President

In addition to the duties described in Bylaw 5(4), the Immediate Past President shall:

  1. Attend Board Meetings (dates outlined in Meeting Schedule).
  2. For the Nominating Committee
    1. Chair Meetings
    2. Convene Meetings as required
    3. Submit report for the Branch Annual Report
  3. Attend Council Meetings.
  4. Attend Mid-Winter Meeting.
  5. Attend Law Student Events as outlined on Meeting Schedule.
  6. Attend Branch Annual Meeting.
  7. Attend the President’s Dinner.

Finances

Duties of the Education Director

  1. Facilitate and promote professional development that includes both substantive education and skill development.
  2. Chair Branch Section Orientation meetings
  3. Support Branch Section Executives
  4. Attend any receptions or gatherings promoting sections
  5. Support Branch Mid-Winter Planning Committee
  6. Participate in the Student Mentorship Program
  7. Attend the Branch Mid-Winter and Annual Meetings
  8. Attend Branch Council Meetings
  9. Attend CBA-SK Board of Director Meetings
  10. Prepare a written report for Branch Annual Report
  11. Other duties as assigned by the President

Duties of the Legislation and Law Reform Director

  1. The primary mandate is to assist the Branch in pursuing improvement in the law and administration of justice by:
    • Promoting consideration by the Branch of legal and policy issues
      • That are of interest or concern to the legal community
      • To which the legal profession has a social or moral obligation to respond; and
      • Upon which the Branch can inform public debate.
    • Overseeing the collection of member responses to applicable legislation changes and coordinating that response with the Board of Directors
    • Promoting and facilitating adoption by the Branch of principled positions based on sound, comprehensive analysis of legal and policy issues
    • Ensuring positions adopted by the Branch are clearly presented to government or applicable governing body
    • Promoting implementation of Branch policy on substantive issues
    • Coordinating the branch response to national CBA advocacy issues
  2. Chair the Legislation and Law Reform Committee
  3. Attend monthly Board Meetings
  4. Participate in the Student Mentorship Program
  5. Attend the Branch Mid-Winter and Annual Meetings
  6. Attend Section Orientation Meeting(s)
  7. Prepare a written report for Branch Annual Report
  8. Other duties as assigned by the President.

Duties of the Outreach Director

  1. Facilitates and promotes the profession’s image and the public’s awareness of the profession through outreach to both the membership and the public.
  2. Acts as a liaison with the Executive Director to the College of Law, University of Saskatchewan.
  3. Attend the College of Law Welcome Event Online
  4. Coordinate Saskatchewan Law Firm Showcase with Executive Director
  5. Participate in Student Mentorship Program
  6. Coordinate with Executive Director any relevant additional Law Student activities
  7. Promote the positive contributions lawyers and jurists make to society
  8. Encourage members to improve the lawyer-client relationship and working with the membership to promote same to the public
  9. Represent CBA-SK at the Access 2Justice Network and Dean’s Forum
  10. Work with parallel organizations to further the profession’s image to the public
  11. Attend the Branch Mid-Winter and Annual Meetings
  12. Attend Branch Council Meetings
  13. Attend CBA-SK Board of Director Meetings
  14. Prepare a written report for Branch Annual Report
  15. Other duties as assigned by the President

Duties of the Executive Director

Bylaw 7(2) permits the Board of Directors to appoint an Executive Director who is the Chief Administrative Officer of the Branch and responsible to the President or any member of the Board of Directors that may be designated by the President.

The Board prescribes the duties and responsibilities of the Executive Director. The Executive Director is responsible for the operations of the Branch in accordance with its policies and bylaws, and for developing and supplying the necessary support services for the Branch.
